Terms of Service

Please read these Terms of Service (“Terms”) carefully before using SupplyPO. By connecting your QuickBooks account or using any part of the SupplyPO service, you agree to be bound by these Terms.

1. Description of Service

SupplyPO is an independent software application that connects to QuickBooks Online via Intuit’s official API and automates the creation of vendor-specific Purchase Orders from QuickBooks Estimates. The service requires an active QuickBooks Online Plus or Advanced subscription.

SupplyPO is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks is a registered trademark of Intuit Inc.

2. Eligibility

• You must be at least 18 years of age to use SupplyPO
• You must have an active QuickBooks Online Plus or Advanced account
• You must have the authority to connect third-party applications to the QuickBooks account you connect
• You must use SupplyPO for lawful business purposes only

3. Account and QuickBooks Connection

SupplyPO uses your QuickBooks Online account as your identity. By connecting your QuickBooks account, you authorize SupplyPO to access your QuickBooks data as described in our Privacy Policy and as permitted by the QuickBooks OAuth scope you approve during connection.

You are responsible for ensuring SupplyPO is authorized to access the QuickBooks account you connect. You may disconnect SupplyPO at any time through QuickBooks Online Settings → Connected Apps.

4. Early Access Terms

SupplyPO is currently in early access. During this period:

• The service is provided free of charge during early access
• Features, pricing, and these Terms may change before general availability
• We may limit access, modify functionality, or discontinue the service with reasonable notice
• Early access participants may be asked to provide product feedback

Pricing for general availability will be communicated to early access users in advance. You will have an opportunity to cancel before any billing begins. We will not charge your payment method without explicit notice and consent.

5. Acceptable Use

You agree not to:

• Use SupplyPO in any way that violates applicable laws or regulations
• Use SupplyPO to access QuickBooks data you are not authorized to access
• Attempt to reverse engineer, decompile, or circumvent the service or its security measures
• Use SupplyPO to transmit malicious code or interfere with the service or its infrastructure
• Resell, sublicense, or provide access to the service to third parties without written permission
• Use the service in any way that could damage, disable, or impair QuickBooks or Intuit’s services

6. Privacy and Data

Your use of SupplyPO is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SupplyPO, you consent to our collection and use of data as described in the Privacy Policy.

7. Intellectual Property

SupplyPO and its original content, features, and functionality are the property of SupplyPO and are protected by applicable intellectual property laws. You may not copy, modify, or create derivative works from the service without written permission.

Your QuickBooks data remains your property at all times. SupplyPO does not claim ownership of any data you access, create, or modify through your QuickBooks account.

8. Third-Party Services and Intuit

SupplyPO relies on Intuit’s QuickBooks Online API to function. Availability of SupplyPO is dependent on the availability of Intuit’s API. We are not responsible for service interruptions caused by Intuit or any other third-party service provider.

Your use of QuickBooks Online is governed by Intuit’s own Terms of Service and Privacy Policy, which are independent of these Terms.

9. Disclaimer of Warranties

SupplyPO is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that Purchase Orders created by SupplyPO will be free from errors.

You are responsible for reviewing Purchase Orders created by SupplyPO before sending them to vendors. SupplyPO automates data entry — final accuracy verification remains your responsibility.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SupplyPO and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to errors in Purchase Orders, loss of business, or third-party service downtime.

Our total liability to you for any claims arising from these Terms or your use of the service shall not exceed the amount you paid for the service in the twelve months preceding the claim (or $0 during any free early access period).

11. Termination

You may stop using SupplyPO at any time by disconnecting your QuickBooks account. To delete your account and all stored data, visit our Data Deletion page.

We may suspend or terminate your access to SupplyPO if you violate these Terms, with or without prior notice. Upon termination, your right to use the service ceases immediately.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in North Carolina.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above. Continued use of SupplyPOafter changes constitutes acceptance of the updated Terms.
